Terms of Service

1. Agreement to Terms

By creating an account or using CourseSpot, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the platform. These Terms constitute a legally binding agreement between you and CourseSpot Pty Ltd (ABN 62 695 422 710)("CourseSpot").

2. Definitions

  • "CourseSpot", "we", "us" or "our" means CourseSpot Pty Ltd (ABN 62 695 422 710), the company that operates the Platform.
  • "Platform" means the CourseSpot software service, including all websites, APIs, and related services.
  • "Tenant" or "Business Owner" means a studio or business operator who creates an account on CourseSpot to manage courses and bookings.
  • "Student" or "End User"means a person who books or registers interest in courses through a Tenant's CourseSpot site.
  • "Services" means the platform features including website builder, booking management, payment processing, email automation, and related functionality.

3. Account Registration

To use CourseSpot as a Tenant, you must:

  • Be at least 18 years of age or have legal authority to enter into agreements
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update your information if it changes

You are responsible for all activity that occurs under your account. Each business may hold one CourseSpot account.

4. The Service

CourseSpot provides a multi-tenant platform for managing course bookings. We host Tenant websites at subdomains of coursespot.app. CourseSpot facilitates but is not a party to the contractual relationship between Tenants and their Students. Tenants are solely responsible for the courses, services, and experiences they offer to Students.

5. Starting an Account

Opening an account is free and no credit card is required. There is no trial period, because there is nothing to trial into: every account has full access to all features from the start, and the transaction fee in section 6 applies from the first booking a Tenant processes. Some accounts are on a reduced rate under a promotional or early-adopter offer. Whether we make such an offer, and to whom, is at our discretion, and we may withdraw an offer from future accounts at any time. Changing the rate on an account already holding one is a change to our fee structure and follows the 30 days' written notice in section 6.

6. Fees and Payment

CourseSpot charges a transaction fee on each booking processed through the platform. The standard rate is 2.5% of the booking value, with no fixed per-transaction component. Some accounts are on a different rate under a promotional or early-adopter offer. There are no monthly subscription fees, setup fees, or hidden costs.

Stripe charges its own payment processing fee separately from the CourseSpot fee. For standard domestic Australian card transactions this is 1.7% + 30c; international cards may incur slightly higher fees. Stripe's fees are set by Stripe, not by CourseSpot.

Fees are automatically deducted from each transaction before the remaining amount is transferred to the Tenant's connected Stripe account. We reserve the right to change our fee structure with 30 days' written notice to registered users.

7. Payment Processing (Stripe)

To receive payments through CourseSpot, Tenants must connect a Stripe account. By doing so, you agree to be bound by Stripe's Connected Account Agreement and Stripe's Terms of Service.

CourseSpot shares your business name and contact email with Stripe to create and manage your connected payment account. CourseSpot is not responsible for Stripe's actions, service availability, or policies.

8. Tenant Obligations

As a Tenant, you agree to:

  • Comply with all applicable Australian laws, including the Australian Consumer Law and the Spam Act 2003
  • Provide accurate course descriptions and pricing
  • Honour bookings and maintain a fair refund policy for your Students
  • Not use the platform for any illegal, harmful, or fraudulent purpose
  • Be responsible for all content you publish on your CourseSpot site
  • Comply with privacy laws when handling Student data collected through your site

9. Data Responsibilities

Tenants are the data controllers for Student data collected through their CourseSpot sites. CourseSpot acts as a data processor on behalf of Tenants for this data. Tenants are responsible for ensuring they have appropriate legal grounds for collecting and processing Student personal information, and for maintaining their own privacy policy where required.

10. Intellectual Property

CourseSpot retains all intellectual property rights in the platform, including software, design, trademarks, and documentation. Tenants retain ownership of their content (course descriptions, images, branding assets) but grant CourseSpot a non-exclusive licence to host, display, and transmit that content as necessary to provide the Services.

11. Acceptable Use

You must not:

  • Send unsolicited marketing messages (spam) via the platform
  • Upload illegal, harmful, or offensive content
  • Attempt to interfere with the platform's operation or security
  • Reverse engineer, decompile, or otherwise attempt to derive the source code
  • Scrape, crawl, or harvest data from other Tenants' sites
  • Resell or sublicense access to the platform

12. Suspension and Termination

We may suspend or terminate your account if you breach these Terms, engage in fraudulent activity, or if required by law. We will provide reasonable notice where practicable.

You may close your account at any time from your account settings. Upon closure, your data will be retained for 90 days then permanently deleted, except where longer retention is required by law (such as financial records under Australian taxation requirements).

13. Limitation of Liability

To the maximum extent permitted by Australian law, the platform is provided "as is" without warranties of any kind. CourseSpot is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.

Our total liability for any claim arising from or relating to these Terms or the Services is limited to the total fees paid by you to CourseSpot in the 12 months preceding the claim.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified by agreement.

14. Indemnification

You agree to indemnify and hold harmless CourseSpot and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the platform, your content, or your breach of these Terms.

15. Dispute Resolution

If a dispute arises, the parties will first attempt to resolve it in good faith through direct negotiation. If the dispute cannot be resolved within 30 days, either party may refer it to mediation in Queensland, Australia before taking further legal action.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of Queensland, Australia. The parties submit to the exclusive jurisdiction of the courts of Queensland.

17. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email with at least 30 days' notice. Your continued use of CourseSpot after the updated Terms take effect constitutes your acceptance of the changes.
